These Terms of Service ("Terms") govern your access to and use of the Quest by Cycle website and services ("Service"), operated by Denuo Web, LLC ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the Service.

1. Eligibility

You must be at least 18 years old to use the Service, or, if you are between the ages of 13 and 18, you must have your parent or guardian’s permission to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 18 years old or have your parent or guardian’s permission, (b) you have the legal capacity to enter into a binding contract, and (c) you are not barred from using the Service under applicable law.

We reserve the right to enhance, modify, or discontinue any aspect of the Service at any time. We will endeavor to notify you of any significant changes to the Service that could adversely affect your use.

• (i) copying, distributing, or disclosing any part of the Service in any medium, including without limitation by any automated or non-automated “scraping”;
• (ii) using any automated system, including without limitation “robots,” “spiders,” “offline readers,” etc., to access the Service;
• (iii) transmitting spam, chain letters, or other unsolicited email;
• (iv) attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service;
• (v) taking any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure;
• (vi) uploading invalid data, viruses, worms, or other software agents through the Service;
• (vii) collecting or harvesting any personally identifiable information, including account names, from the Service;
• (viii) using the Service for any commercial solicitation purposes;
• (ix) impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding, or attempting to hide your identity;
• (x) interfering with the proper working of the Service;
• (xi) accessing any content on the Service through any technology or means other than those provided or authorized by the Service;
• (xii) bypassing the measures we may use to prevent or restrict access to the Service, including without limitation features that prevent or restrict use or copying of any content or enforce limitations on use of the Service or the content therein.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

9. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, referred to herein as "you" or "Licensee") and Denuo Web, LLC ("Licensor"), the author and publisher of "Quest by Cycle," a web application designed to engage and motivate the bicycling community through a gamified approach.

1. Acceptance of License Terms

By downloading, installing, accessing, or using "Quest by Cycle," you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not download, install, access, or use the software.

2. License Types

2.1 Open-Source License (GNU Affero General Public License, AGPL)

Scope: The AGPL license permits you to use, modify, and share the software freely, as long as any modifications or derivative works you distribute are also licensed under the AGPL.

Terms: A full copy of the AGPL license terms is included with the software and is also available online at GNU AGPL License.

2.2 Commercial License

Grant of License: Subject to the terms of this Agreement, Licensor grants you a non-exclusive, non-transferable, limited license to use "Quest by Cycle" for commercial purposes.

Use Cases: This includes the right to integrate "Quest by Cycle" into proprietary offerings, such as software or services that you offer to third parties.

Obtaining the License: To obtain a commercial license, you must contact Licensor at info@questbycycle.org to discuss terms and fees.

3. Intellectual Property Rights

Ownership: The Licensor retains all ownership and intellectual property rights in and to "Quest by Cycle." This Agreement does not transfer any intellectual property rights to you beyond what is expressly granted herein.

Restrictions: You may not remove or alter any copyright notices or other proprietary notices on any copies of the software.

4. Restrictions on Use

Under this Agreement, you are prohibited from:

• Modifying, translating, selling, reverse engineering, decompiling, or disassembling "Quest by Cycle" except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
• Renting, leasing, or lending the software or using the software for third-party training, commercial time-sharing, or service bureau use.
• Sub-licensing or redistributing the software or any part of it unless you are specifically authorized under a separate agreement with Licensor to do so.

5. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this Agreement. Upon termination, you shall cease all use of "Quest by Cycle" and destroy all copies of the software in your possession.

6. Disclaimer of Warranties

AS IS: "Quest by Cycle" is provided "as is," with all faults, and without warranty of any kind. Licensor hereby disclaims all warranties and conditions with regard to the software, whether express, implied, or statutory, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

No Performance Warranty: Licensor does not warrant that the functions contained in "Quest by Cycle" will meet your requirements or that the operation of the software will be uninterrupted or error-free.

7. Limitation of Liability

In no event will Licensor be liable for any damages, including, but not limited to, indirect, special, incidental, or consequential damages arising out of the use or inability to use "Quest by Cycle," even if advised of the possibility of such damages.

8. General

This Agreement shall be governed by the laws of the State of Oregon, without regard to its conflict of law principles. Any disputes relating to this Agreement shall be adjudicated in the courts of Oregon.

Conclusion

By accepting this License Agreement, you acknowledge that you have read and understood the terms and conditions of both the AGPL and the Commercial License as applicable. You agree to be bound by these terms and commit to using "Quest by Cycle" only in ways that are lawful and consistent with the permissions granted herein.
